COMPANY REGISTRATION PROCEDURE

STEP 1

Procedure 1: Visit to a Notary/Notary Certified Founding Act

Visit a notary with a copy of ID, and agree about the name of the future company. The notary shall check name anailability with the court register. The notary shall certify the founding act, i.e. certify the signatures of the owner and responsible person. The certification per signature costs 7 notary points BAM 0.50 each + VAT = BAM 4.095

Procedure 2: ID Document and Signature Certification

Visit city hall and certify copies of ID cards/passports of the owner and responsible person (certification costs BAM 2 per sheet), and certify the signature of the future responsible person BAM 10.

Procedure 3: Company Registration – One-Stop Shop at APIF

  • The notary/founder/responsible person shall file an aplication for registration to APIF, including required documents (notarized founding act, certified        signature of responsible person, certified copies of ID cards/passports of owner and responsible person) – initial registration is free of charge,
  • publication in the RS Official Gazette BAM 7 per line,
  • APIF fee BAM 35;

Deadline for completion is 3 days if all required documentation is filed. The registration procedure implies simultaneous registration of the business entity with the RS Tax Administration, i.e. award of the JIB (TIN) and business entity sorting in accordance with activity cassification.

STEP 2

Procedure 3: Company Registration

Take the court certificate and notification of sorting in accordance with the activity classification from APIF.

Procedure 4: Seal Making

Have a seal made by an authorized seal maker, upon submitting a copy of court decision and presenting the original, the average seal price is BAM 40, and it is made in 1 day.

After completion of the registration process, and making of seal, the person interested in starting business in the Republic of Srpska should make also the following steps:

VAT registration – Visit the BiH Indirect Taxation Authority for the purpose of VAT registration.

Required documentation:

1. Fulfilled application form (ZR-1 form),

2. Decision on entrepreneur registration,

3. Certificate of the taxpayer registration,

4. ID card of the applicant,

5. Work permit and registration of residence and passport for foreign citizen,

6. Specimen signature card certified by a commercial bank at which the transaction account open (for all open transaction accounts),

7. Payment slips for the total amount of 40KM (on account JPT TREZOR BiH):

    10KM-Payment details – The fee for application for registration; type of income 722801;

    10KM-Payment details – The fee for issuing a decision on registration; type of income 722802;

    20KM-Payment details – The fee for a certificate of registration; type of income 722814;

Fiscalization – Visit one of the authorized distributors of fiscal devices/cash registers in order to conclude a contract, select a fical register that meets the needs of operation, and file the initial application for fiscalization. Purchase of fiscal device, together with installation and annual maintenance cost approximately 1.000 BAM.

Registration of Employees – Visit Tax Administration in order to register employees using form templates, take the registration certificate from the RSTA.

Fulfillment of requirements of occupational safety and health policies – Business entity can perform business activities in business offices and spaces that fulfill requirements of Occupational Saftey and Health Policy. This Decision is being issued by Misnitry of Labor, War Veterans and Disabled Persons Protection of Republic of Srpska. The fee for document issuance costs 10 BAM.

 

REGISTRATION COSTS IN BAM (the simplest organization form)

ENTREPRENEURSHIP REGISTRATION PROCEDURE

 

REGISTRATION IN MUNICIPALITY/CITY

Registration of business in form of an independent entrepreneurship in Republic of Srpska is regulated by Law on Crafts and Entrepreneurial Activities , while Regulation on the Entrepreneurial Activities comprises the list of activities that entrepreneur can perform. The decision on registration of entrepreneurs is issued by the Department of Economy of the city/municipality (registration authority). The registration authority requires the following documentation:

1.) Fulfilled application SP-1 form (The form is available at the registration authority) ; 2.) Certified copy of ID card or a certified copy of passport (for foreign citizens); 3.) Certificate issued by a competent local/municipal court that the applicant does not have a final court measure of prohibition of performance of required activities; (It must not be older than 30 days from the date of application);

4.) Certificate of the Tax Administration of the Republic of Srpska that physical person who registers enterprise does not have outstanding obligations that are not older than 8 days;

5.) Contract on established partnership (only if the founders are 2 or more persons); 6.) Proof of payment of registration fees founding entrepreneurs which amount to a maximum of 32.00 KM.

The registration authorities are obliged to issue a decision on entrepreneur registration within 2 days after the proper request has been delivered to them.

 

STAMP MAKING

The stamp can be made in any authorized stamp maker workshop where it is necessary to show a copy of the decision on performing business activities. The average price of the stamp is 20 – 50 KM.

 

ENTREPRENEUR REGISTRATION IN THE TAX ADMINISTRATION OFFICE

Registration of a taxpayer and/or a contribution payer is to be done at the organizational unit of the Tax Administration in whose jurisdiction is the location of the main place of the business entrepreneur, 5 days after the decision on the Court Register entry has been issued. In order to register, the taxpayer and/ or contribution payer has to submit the following documents to the Tax Administration office:

1. Fulfilled application form (PR2),

2. Decision on entrepreneur registration,

3. Certified copy of ID card or passport, (for foreign citizens)

4. Contract on keeping business books (unless the entrepreneur himself does not keep books).

Confirmation of the taxpayer registration will be issued within two or three days after the application has been submitted.

 

OPENING A TRANSFER ACCOUNT

You may open a transfer account in any business bank. The procedure requires the following documents:

1. Decision on entrepreneur registration;

2. Specimen signature card of persons authorized to sign orders on disposal of funds (the form is available at the bank);

3. Certificate of the taxpayer registration.

 

FISCALIZATION

Before starting to work entrepreneur is obliged to introduce a fiscal cash register. The price of a fiscal device is between 400-800 KM. This obliged entrepreneur does not have if he performs craft activities and activities of old and artistic crafts and handicrafts.

 

REGISTRATION AT THE INDIRECT TAXATION AUTHORITY OFFICE

VAT payers are to be registered at the local center of the Indirect Taxation Authority in Bosnia and Herzegovina. All individuals whose taxable trade of goods or services in the previous year exceeds or is likely to exceed the threshold of 50,000.00 BAM have to register as VAT taxpayers. Along with the application for registration and registration in a single register of indirect tax payers (form ZR-1), it is necessary to provide a copy, upon presentation of the original or a certified copy of the following documents:

1. Application for registration of VAT payers;

2. ID card of the applicant;

3. The taxpayer registration certificate issued by the Tax Administration of the Republic of Srpska;

4. Specimen signature card certified by a commercial bank at which the transaction account open (for all open transaction accounts);

5. Work permit and registration of residence and passport for foreign citizen

6.
